SUPPLIER CODE OF CONDUCT
Telesign Corporation (“Telesign”) conducts business ethically, honestly, and in full compliance with applicable laws and regulations. Acting with integrity and doing the right thing are driving forces behind our success and Telesign strives to achieve mutually beneficial supplier relationships built on common values and expected behaviors. The Telesign Supplier Code of Conduct (the “Supplier Code”) sets out expectations for our business partners in the areas of health and safety, labor and human rights, environment, cyber security and data protection, and business integrity.
The business partners we work with, including all vendors, consulting firms, staffing agencies, and any individual or entity who supplies goods or services to Telesign and the employees of such (“Suppliers”), must read, understand, and comply with the high standards set out in this Supplier Code as a condition of doing business with Telesign.
Telesign reserves the right to update this Supplier Code at any time, at its sole discretion, with or without notifying its Suppliers.
A. COMPLIANCE WITH LAWS AND REGULATIONS
Suppliers must comply with all applicable laws and regulations in the jurisdictions where they operate.
B. REPORTING MISCONDUCT
Suppliers must report instances of non-compliance with the Supplier Code and have a responsibility to report suspected illegal or unethical practices to our anonymous hotline:

Telesign does not retaliate against anyone for submitting in good faith a report of suspected or known misconduct, nor do we tolerate others retaliating. Similarly, our Suppliers must not retaliate or tolerate retaliation against anyone who, in good faith, reports suspected or known misconduct.
C. LABOR AND HUMAN RIGHTS
Health and Safety
Telesign cares for our employees and we continuously strive to develop and maintain a working environment that promotes health, safety, and wellbeing.
Our Suppliers must:
- Ensure a healthy and safe working environment that complies with local environmental, safety, and health rules and practices.
- Ensure employees are adequately trained and provided with proper equipment to carry out their work.
- Take proactive measures to prevent workplace hazards.
Fair Working Conditions
Telesign supports global basic and fundamental human rights and fair working conditions and treats all workers with respect and dignity. We expect our Suppliers to do the same.
Our Suppliers must:
- Ensure that working conditions, hours, wages, and benefits comply with applicable laws.
- Have a zero-tolerance policy towards any form of child labor. A child is anyone below the age of 15, or below any higher minimum age specified by local law.
- Comply with local laws regarding payment and working hours, including overtime, rest days and public holidays.
- Ensure that compensation paid to employees complies with all applicable local wage laws, including those relating to minimum wages, overtime hours, and legally mandated benefits.
- Not require workers to surrender any government issued identification, passport or work permit or other personal document as a condition of employment.
- Recognize and respect employees’ right to freedom of association and collective bargaining, where permissible by law.
- Make all relevant information about their employee’s rights easily accessible to employees.
Humane Treatment
Telesign obligates its Suppliers to be committed to a workplace free of harsh and inhumane treatment including any sexual harassment, sexual abuse, harassment, corporal punishment, or mental or physical coercion of workers.
Our Suppliers must:
- Treat all workers with dignity and respect.
- Have policies and procedures in place to support this requirement.
Forced Labor and Human Trafficking
Telesign condemns forced labor, human trafficking, and related violations of fair labor laws and regulations. Telesign will not work with Suppliers who engage in such practices.
Our Suppliers must:
- Ensure that they do not use involuntary prison labor, or forced, bonded, or indentured labor, and do not employ anyone against their will.
- Adhere to all applicable anti-modern slavery and human trafficking laws, including the UK Modern Slavery Act 2015.
- Avoid requiring workers to relinquish control of identity or immigration papers (including but not limited to passports, drivers’ licenses, or work permits).
- Ensure that all work is voluntary and that their employees are free to resign their employment in accordance with applicable law
Discrimination and Harassment
Telesign respects all individuals and strives to work as one team, and to foster open, straightforward, and respectful communication. We provide equal treatment and employment opportunities, and we do not tolerate any form of harassment or discrimination.
Our Suppliers must:
- Have a zero-tolerance attitude towards disrespectful behavior, bullying, discrimination, harassment, or unwanted sexual advances.
- Avoid discriminating in screening, hiring, or employment practices based on ace, color, religion, sex, national origin, age, disability, or any other protected class under applicable federal, state, and local laws.
- Embrace and promote an inclusive culture.
- Comply with all anti-discrimination, anti-retaliation, and anti-harassment laws, whether local, state or federal
D. CLIMATE AND ENVIRONMENT
Telesign is committed to protecting the environment and believe that we can contribute to a more sustainable world.
We expect our Suppliers to share in this commitment by conducting their operations in an environmentally responsible manner and in accordance with applicable environmental laws and standards.
Our Suppliers are also encouraged to develop and maintain business practices to promote energy efficiency, reduce pollution, and conserve resources wherever possible. This includes managing, reducing and properly disposing or recycling all hazardous and non-hazardous waste, such as e-waste and wastewater.
E. CONFIDENTIALITY
Suppliers may not share, disclose or use Telesign’s intellectual property, confidential information, or any other proprietary or non-public information that the Supplier acquires through its engagement with Telesign except as provided for in the applicable contract with Telesign or as provided by express written consent by Telesign.
F. PERSONAL DATA PROTECTION
Telesign is committed to protecting the privacy and security of data in our developer ecosystem, and of our customers and users. We expect Suppliers to comply with all applicable data privacy laws and regulations when processing the personal or identifying information of Telesign and Telesign’s employees, customers and end users, workers, and suppliers.
G. ANTI-CORRUPTION, ANTI-BRIBERY, TRADE RESTRICTIONS AND EXPORT CONTROLS
At Telesign, we do not offer or accept bribes or kickbacks in any form and we do not tolerate corruption in connection with any of our business dealings. Many countries have periodically imposed boycotts and trading sanctions against various governments and regions, which must be obeyed. Export laws may control trading of commodities or technologies that are considered to be strategically important because they have the potential to be used for military purposes. Restrictions may cover travel to or from a sanctioned country, imports or exports, new investments, and other related topics.
Our suppliers must:
- Avoid offering or receiving bribes or kickbacks to, or from, any individual, whether that individual is a government official or a private party.
- Avoid retaining consultants, agents, or other outside parties to have contact with domestic or foreign government officials in any way that violates international laws and regulations concerning bribery and corruption.
- Follow all applicable export restrictions.
- Prohibits their employees, officers and directors from conducting unauthorized business with sanctioned organizations or individuals.
- Avoid money laundering in any form.
The purpose of business entertainment and gifts in a commercial setting is to create goodwill and sound working relationships, not to gain unfair advantage with customers or suppliers and against competitors. No gift or entertainment should ever be offered, given, requested, provided or accepted by any representative of a Supplier of Telesign unless such gift or entertainment is consistent with customary business practices, cannot be construed as a bribe or payoff, and the giving and receipt of the gift does not violate any laws, regulations or applicable policies of the Supplier.
H. ANTITRUST AND FAIR COMPETITION
Telesign seeks to embrace fair and honest competition in all business relations. Additionally, Telesign maintains compliance with antitrust laws, and requires its Suppliers to maintain full compliance with these laws.
Our Suppliers must:
- Endeavor to respect the rights of and deal fairly and respectfully with all customers, suppliers, competitors and employees.
- Avoid taking advantage of anyone through unfair dealing practices such as manipulation, concealment, abuse of privileged information, misrepresentation of material facts, collusion with competitors on pricing and other terms, violating fair bidding practices including bidding quiet periods, providing information to benefit one vendor over others, or any other illegal trade practice
- Avoid discussing pricing strategy, marketing strategy or other competitive strategy with competitors, or sharing confidential business information with competitors
- Avoid engaging in any conduct that could unreasonably restrict competitors’ access to the market, including price fixing, bid rigging, allocation of markets or customers, and any similar illegal activities.
I. CONFLICT OF INTEREST
A conflict of interest exists when a person’s private interest interferes in any way, or even appears to interfere, with the interests of Telesign or Supplier.
Our Suppliers must:
- Avoid conflicts of interests and situations that may have the appearance of a conflict of interest.
- Disclose to Telesign any material transaction or relationship that reasonably could be expected to give rise to an apparent or actual conflict of interest regarding its relationship with Telesign.
J. BRAND PLAYBOOK
At Telesign, we are proud of our brand and what it represents to our customers. Our Suppliers must folow our Brand Playbook at all times, and must always avoid misusing our logos or trademarks, or otherwise misrepresenting the Telesign brand.
